Affiliate Program Agreement

This Agreement governs your participation as an Affiliate on EarningIt. By registering or applying to any program, you agree to this Agreement, the Terms of Service, Privacy Policy, and Acceptable Use Policy, all incorporated by reference.

1. Relationship of the Parties

You are an independent contractor. Nothing in this Agreement creates an employment, agency, joint venture, partnership, or franchise relationship between you and EarningIt or any Tenant. You have no authority to enter into contracts, accept payments from end users, or hold yourself out as an employee or authorized representative of EarningIt or any Tenant. You bear all costs related to your own promotional activities.

2. Program Enrollment & Approval

Enrollment requires submitting an application. Tenants review and approve or reject applications at their sole discretion. Approval is not guaranteed. A Tenant may suspend or remove an enrolled Affiliate at any time, subject to payment of already-vested commissions. EarningIt does not control Tenant enrollment decisions.

3. Referral Code & Links

Your referral code is personal and non-transferable. You may not sell, license, or allow others to use your referral code. EarningIt may invalidate any referral code being abused or used in violation of this Agreement.

4. Commission Earning, Tracking & Attribution

Commissions are earned when a referred end user completes the qualifying action defined by the Tenant program and that action is tracked by the Platform. No tracking system is 100% accurate. Commissions are NOT earned for: actions not tracked due to ad blockers or cookie refusal; conversions from excluded countries; fraudulent or self-referred conversions; conversions by persons with whom the Affiliate has an undisclosed financial relationship. Commission rates may change with 30 days' prior notice; changes are prospective only.

5. Payout Terms

Payouts are processed by the Tenant, not EarningIt. EarningIt is not the payer and bears no liability for Tenant non-payment. Each program specifies its own schedule, minimum threshold, and currency. Commissions are held during the Tenant-defined maturation period (for refund/chargeback windows) before becoming payable. EarningIt makes commercially reasonable efforts to facilitate payout recovery if a Tenant becomes insolvent, but does not guarantee payment from insolvent Tenants.

6. Commission Clawback

Commissions may be reversed if: the referred user cancels or refunds within the Tenant's refund window; the referral is determined fraudulent or self-referred; the user is a pre-existing Tenant customer; a chargeback is filed. Clawback amounts owed reduce future commission payments.

7. Tax Obligations

You are solely responsible for all taxes on commissions you receive in your jurisdiction. Where required by law: US affiliates earning USD $600+ per calendar year must submit a W-9 before payout; non-US affiliates must submit a W-8BEN or equivalent. Payouts may be withheld until required documentation is received. EarningIt is not responsible for advising you on tax compliance.

8. FTC & Advertising Disclosure

You are legally required to disclose your affiliate relationship in all promotional content under FTC 16 C.F.R. Part 255, UK ASA guidelines, and equivalent laws. This disclosure must appear prominently before any affiliate link in any medium. Failure to comply is a violation of this Agreement for which you are solely liable.

9. Intellectual Property

You retain ownership of original promotional content you create. You may use a Tenant's logos or marketing materials only as expressly permitted in the program's brand guidelines or by written authorization. Unauthorized use of a Tenant's IP is a violation of this Agreement and may constitute trademark or copyright infringement.

10. Confidentiality

You must not disclose any non-public information received through the Platform — including unpublished commission rates, Tenant business data, or internal platform features — to any third party. This obligation survives termination of this Agreement indefinitely.

11. Prohibited Persons & Sanctions Compliance

You represent and warrant that you are not on the US OFAC SDN list or any equivalent; not located in or resident of any country subject to comprehensive US, EU, or UN sanctions; and not acting on behalf of any sanctioned party. Providing false information to circumvent sanctions compliance is a criminal offense in multiple jurisdictions.

12. Term & Termination

This Agreement is effective upon account creation. EarningIt may terminate immediately for any material violation. Upon termination: all enrollments cancel; all referral codes deactivate; vested commissions past the maturation period are paid per the program schedule; unvested commissions are forfeited. Sections 7, 9, 10, and 13 survive termination.

13. Indemnification

You agree to indemnify, defend, and hold harmless EarningIt and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including attorneys' fees) arising from: your promotional activities; your breach of this Agreement or any applicable law; false or misleading advertising; failure to make required FTC disclosures; or your tax obligations.

14. Limitation of Liability

EARNINGIT IS NOT LIABLE FOR COMMISSIONS NOT PAID BY A TENANT, TRACKING INACCURACIES CAUSED BY END-USER PRIVACY TOOLS, OR ANY LOSS OF EARNINGS FROM PROGRAM CHANGES MADE BY A TENANT. EARNINGIT'S TOTAL LIABILITY IS LIMITED AS DESCRIBED IN THE TERMS OF SERVICE.

15. Modifications

EarningIt may update this Agreement at any time. Active Affiliates will be notified by email at least 14 days before a material change takes effect. Continued use after the effective date constitutes acceptance.
