In these Terms: "Platform" means the EarningIt.co software, website, APIs, and services."EarningIt" means the platform operator (contact: legal@earningit.co)."Tenant" or "Organization" means any business that subscribes to EarningIt to run an affiliate program."Affiliate" means any individual or entity that registers to promote a Tenant's products through the Platform."End User" or "Referred Customer" means a person directed to a Tenant's product through an Affiliate's referral link."Commission" means any referral fee payable by a Tenant to an Affiliate."Agreement" means these Terms of Service together with the Privacy Policy, Cookie Policy, Acceptable Use Policy, and Affiliate Program Agreement, each incorporated by reference.
By creating an account or using the Platform in any capacity, you represent that: (a) you are at least 18 years of age; (b) you have full legal capacity to enter into binding contracts; (c) if acting on behalf of a business entity, you are authorized to bind that entity; (d) you are not a resident of, located in, or acting on behalf of any person or entity in a country subject to sanctions maintained by the United States Office of Foreign Assets Control (OFAC), the United Nations, or the European Union; (e) you are not on any government list of prohibited or restricted parties. If you do not meet these requirements, you must not use the Platform.
EarningIt operates solely as a technology facilitator. EarningIt is not a party to any commission agreement between a Tenant and an Affiliate. EarningIt does not guarantee the payment of commissions by any Tenant. EarningIt does not endorse or warrant the products, services, or representations of any Tenant. Any dispute regarding commission amounts, payment timing, or program terms is strictly between the Tenant and the Affiliate. EarningIt's liability in relation to any such dispute is expressly excluded to the maximum extent permitted by applicable law.
You must provide accurate, current, and complete information during registration and keep it updated. One account per natural person or legal entity is permitted unless explicitly authorized in writing by EarningIt. You are solely responsible for maintaining the confidentiality of your credentials and for all activities conducted through your account. You must notify EarningIt immediately at security@earningit.co upon any unauthorized access or suspected breach. EarningIt will not be liable for any loss resulting from unauthorized account use where you have failed to maintain credential security or report a known breach.
Your use of the Platform is subject to the Acceptable Use Policy, which is incorporated into this Agreement by reference. In addition to that policy, you agree not to: (a) access or attempt to access systems, data, or accounts belonging to other users without authorization; (b) reverse-engineer, decompile, or disassemble any part of the Platform; (c) resell or sublicense access to the Platform without written authorization; (d) use the Platform to process referrals for products or services that are illegal, fraudulent, or in violation of any third party's rights; (e) introduce malicious code, viruses, or exploits; (f) conduct load testing, scraping, or automated crawling without prior written consent.
EarningIt owns all rights, title, and interest in and to the Platform, including all software, code, interfaces, design, trademarks, and documentation. Nothing in this Agreement grants you ownership of or license to any Platform intellectual property except a limited, non-exclusive, revocable license to use the Platform for its intended purpose during the term of this Agreement. You retain ownership of content you submit to the Platform, but you grant EarningIt a worldwide, royalty-free license to host, process, display, and transmit such content solely to operate and provide the Platform. Tenants retain ownership of their product branding and program materials. Affiliates retain ownership of their promotional content, but grant a limited license to EarningIt and the relevant Tenant to display acceptance records for compliance and audit purposes.
Commission rates, payout schedules, minimum thresholds, and clawback conditions are set by each Tenant in their program settings and are binding between Tenant and Affiliate. EarningIt has no obligation to fund or guarantee any commission payment. Affiliates are solely responsible for declaring and paying all applicable taxes on commissions received, including income tax, self-employment tax, VAT, or equivalent, in their jurisdiction. Where required by applicable law (including US IRS regulations for payments exceeding USD $600 in a calendar year), EarningIt or the Tenant may request tax documentation (W-9, W-8BEN, or equivalent) and may withhold payments until such documentation is provided. Failure to provide required tax documentation releases EarningIt and the Tenant from liability for any withheld amounts.
Any form of commission fraud is a material breach of this Agreement. Fraud includes but is not limited to: self-referrals; creating fictitious referrals or conversions; click injection; cookie stuffing; use of bots or proxies to inflate metrics; facilitating referrals from parties with whom the Affiliate has a financial interest without disclosure. Upon detection of fraud: (a) all unpaid commissions may be forfeited; (b) the account will be immediately suspended pending investigation; (c) EarningIt reserves the right to seek recovery of previously paid commissions and to pursue civil or criminal remedies available under applicable law.
EarningIt may suspend or terminate any account immediately and without prior notice if: (a) these Terms or any incorporated policy are violated; (b) fraudulent or abusive activity is detected; (c) required by law, court order, or regulatory authority; (d) the account poses a security risk to the Platform or other users. Tenants may also suspend or remove affiliated Affiliates from their specific programs at any time. Upon termination: all licenses granted cease; pending commissions are handled per the applicable Tenant program terms; you must cease all use of the Platform. If you dispute a termination, you must notify legal@earningit.co within 30 days. EarningIt will conduct a good-faith review but its determination is final.
You agree to defend, indemnify, and hold harmless EarningIt and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Platform; (b) your violation of this Agreement; (c) your promotional activities as an Affiliate; (d) any content you submit through the Platform; (e) your violation of any third party's rights, including intellectual property, privacy, or consumer protection rights.
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, UNINTERRUPTED SERVICE, OR ERROR-FREE OPERATION. EARNINGIT DOES NOT WARRANT THAT THE PLATFORM WILL MEET YOUR REQUIREMENTS, THAT TRACKING WILL BE 100% ACCURATE, OR THAT ALL REFERRALS OR CONVERSIONS WILL BE CAPTURED. SOME JURISDICTIONS DO NOT ALLOW EXCLUSION OF IMPLIED WARRANTIES; IN SUCH CASES, THE ABOVE EXCLUSIONS APPLY TO THE MAXIMUM EXTENT PERMITTED.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EARNINGIT'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT, WHETHER IN CONTRACT, TORT, OR OTHERWISE, WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO EARNINGIT IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100. IN NO EVENT WILL EARNINGIT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED.
This Agreement is governed by the laws of the Republic of the Philippines without regard to conflict of law principles. Before initiating any formal proceeding, you agree to attempt good-faith resolution by emailing legal@earningit.co. EarningIt will respond within 14 business days. If the dispute is not resolved within 30 days of your initial notice, either party may bring an action before the appropriate courts in Metro Manila, Philippines, and you irrevocably consent to that jurisdiction. Notwithstanding the foregoing, EarningIt may seek injunctive or equitable relief in any jurisdiction to protect its intellectual property or confidential information.
Your use of the Platform is subject to the Privacy Policy, which is incorporated by reference. By using the Platform, you consent to the collection and use of your information as described therein. The tracking script embedded on Tenant websites deploys cookies as described in the Cookie Policy.
EarningIt reserves the right to modify these Terms at any time. Modifications will be posted to this page with an updated version number and effective date. For material changes, EarningIt will notify active users by email at least 14 days before the effective date. Continued use of the Platform after the effective date constitutes acceptance of the modified Terms. If you do not accept a modification, you must cease using the Platform and request account deletion.
Severability: If any provision of this Agreement is found invalid or unenforceable, the remaining provisions continue in full force. No Waiver: Failure to enforce any right does not constitute a waiver of that right. Entire Agreement: This Agreement, together with incorporated documents, constitutes the entire agreement between you and EarningIt regarding the Platform and supersedes all prior agreements.Assignment: You may not assign your rights or obligations without EarningIt's prior written consent. EarningIt may assign this Agreement in connection with a merger, acquisition, or sale of assets.Force Majeure: EarningIt is not liable for any failure or delay caused by circumstances beyond its reasonable control, including acts of God, natural disasters, pandemics, government orders, or infrastructure failures.Language: The controlling version of this Agreement is in English. Any translations are for convenience only.
